QNX END USER LICENSE AGREEMENT

Except for third party software that has its own end user license agreement terms (see references below, in headers of sample source code files and in associated documentation), all software and related documentation that you are about to access ("Software") is offered to you by QNX Software Systems Ltd. ("QSSL") of 175 Terence Matthews Crescent, Kanata, Ontario, Canada K2M 1W8 (voice: 613‑591‑0931, fax: 613‑591‑ 3579) only for use in accordance with the applicable terms of the QNX End User License Agreement below.

The QNX End User License Agreement addresses a variety of software products and their uses. The key differentiator is Part A, which provides various license grants. One or more may apply to you depending on the Software that you want to use and the corresponding license rights that you acquire. They are as follows:

Part A.I - the QNX realtime platform ("RTP") Non-commercial Use License;

Part A.II - the QNX Full Commercial Use License; and

Part A.III - the QNX Limited Commercial Use License.

Part B presents general license terms. Each Part A license incorporates the relevant part B terms. Part A licenses may cover third party software that is sub-licensed to you by QSSL. Part C presents terms that are unique to such sub‑licenses. Part C supplements Part A and Part B if you use the named Software. Part D presents independent terms that apply to Software that is licensed to you directly by third parties (e.g., GNU tools and utilities, Mozilla browser, RenderWare3, etc.). As a service to the QNX Developer Community, we also provide access to a body of sample source, utilities, and other code that is intended for use with the Software but is not licensed by QSSL. Part E presents a full disclaimer for this code.

CLICKING THE "I AGREE" BUTTON, OR OTHERWISE ATTEMPTING TO COPY, INSTALL, OR USE ANY PART OF THE SOFTWARE, WILL INDICATE THAT YOU HAVE READ, UNDERSTOOD, AND ACCEPT THE APPLICABLE TERMS AND CONDITIONS. DO NOT PROCEED IN ANY SUCH MANNER UNLESS YOU ARE ABLE AND WILLING TO ENTER INTO AND COMPLY WITH THE APPLICABLE END USER LICENSE AGREEMENT. IF YOU HAVE ANY QUESTIONS CONTACT QSSL BEFORE YOU ATTEMPT TO COPY, INSTALL OR USE ANY PART OF THE SOFTWARE.

END USER LICENSE AGREEMENT

This End User License Agreement (this "Agreement" as further defined below) is a legal agreement between you and QNX Software Systems Ltd. ("QSSL", "we", "our", "us") and is made effective as of your acceptance, as provided above.

Definition. This "Agreement" means:

(a) for QNX realtime platform Non-commercial Use licensees: Part A.I (which incorporates by reference certain terms listed in Part B);

(b) for QNX Full Commercial Use licensees: Part A.II (which incorporates by reference certain terms listed in Part B);

(c) for QNX Limited Commercial Use licensees: Part A.III (which incorporates by reference certain terms listed in Part B);

plus for all licensees, the relevant sections of Parts C & D (third party terms) that apply to the Software configuration you install.

PART A LICENSE GRANTS

PART A.I QNX REALTIME PLATFORM NON-COMMERCIAL USE LICENSE

1.1.1        INTRODUCTION. The QNX realtime platform (sometimes "RTP") is a self-hosted development environment. By proceeding with this installation you will be given access first to a "Base" package (QNX Neutrino and Photon microGUI Core Components), and then, at your option, to a number of related "Add‑on" packages" (e.g., GNU Development, QNX Development, Connectivity, Browser Upgrade, Japanese, Multimedia, Chinese, Games and Word Processing Packages). Collectively, these packages comprise the "QNX realtime platform". The QNX RTP Non-commercial Use License does not extend to any of the QNX 4 or QNX 2 family of products or to cross-development environments (at this time).

1.1.2        NON‑COMMERCIAL USE. This Agreement intends to make it easy for developers and end users to use the QNX realtime platform for Non‑commercial Purposes, where "Non‑commercial Purposes" means:

(1) to evaluate the QNX realtime platform and to do exploratory development and "proof of concept" prototyping of target devices (e.g. Internet appliances, set‑top boxes, switches, gateways, etc.), software applications and device drivers within the QNX realtime platform self‑hosted development environment, whether at home for personal use or at work as a prototyping tool. However, if you or your employer get serious about developing a commercial version of such items, and you want to continue basing your development on QNX software, then you will need a commercial development license (and possibly an OEM or VAR distribution agreement);

(2) to use the QNX realtime platform to develop new and to port existing software applications and device drivers to the QNX realtime platform, provided that such software applications and device drivers are solely for your own personal use or are made available for free distribution and use by other QNX software users under terms equivalent to our soon to be released "QNX Open License". A commercial development license is required for porting software applications for commercial distribution (contact our Alliances group for details); and

(3) to use the QNX realtime platform as an end‑user, provided that it is only for personal use by an individual and not for the purpose of generating revenue or in‑kind consideration or for productive use of the QNX realtime platform in the operation of a business or enterprise.

1.1.3        LICENSE GRANT. Subject to the terms of this Agreement, QSSL hereby grants to you a non‑exclusive, personal, and non‑transferable license under QSSL's proprietary and sub‑licensing rights in the QNX realtime platform, solely for use on a single general purpose desk‑top PC for internal Non‑commercial Purposes, as follows:

(1) to copy the QNX realtime platform as required to install it and to follow normal back‑up and archiving practices (including one hardcopy of any electronic document included in the packages you have licensed);

(2) to use, execute, display, perform and update the QNX realtime platform in accordance with associated end‑user documentation; and

(3) to create derivative works of any sample source code provided in development packages and to use such derivatives in association with the QNX realtime platform, as authorized herein.

Unless expressly provided otherwise below, all third party software that is sub‑licensed under this Agreement is provided solely for use in association with the QNX operating system.

You may provide a copy of the uninstalled QNX realtime platform to third parties provided that they are required to agree to these license terms prior to use or installation.

Except with the express written consent of QSSL, you do not hereby acquire any license rights in the QNX realtime platform if QSSL has previously terminated for breach your license rights in any QSSL software.

1.1.4        UPDATES. Patches, updates, enhancements and upgrades (collectively "New Packages") to the QNX realtime platform will be posted for download from time to time at http://get.qnx.com. These patches and updates will be provided for free when obtained by download. Enhancements and upgrades may not be free, depending on the packages you may have already licensed and whether QSSL is obligated to pay third party license fees. New Packages are subject to the terms of this Agreement, except to the extent that you are required to agree to other license terms to install and use the New Packages.

1.1.5        EARLY ACCESS. In order to give you the earliest possible access to the latest QNX realtime platform technology components we may be giving you access to some software components that have not been fully optimized and tested. As such you acknowledge that you are not authorized to use any components of the QNX realtime platform: (i) in a live operating environment, (ii) with data that has not been sufficiently backed up, or (iii) for benchmark or performance testing. You should expect the QNX realtime platform to be somewhat unreliable. It is your responsibility to take adequate precautions to prevent damage to your resources in the event the QNX realtime platform fails. We intend that all components of the QNX realtime platform will be offered as commercial versions; however, we cannot guarantee if or when this will happen. You should also be aware that significant changes may be made to such components before they are commercially released.

1.1.6        DEMOS. You may demonstrate the QNX realtime platform, or any simulated target device or ported application based thereon, provided that you clearly qualify it as "Demonstration Only". You hereby agree to indemnify, defend and hold QSSL harmless from and against any claim or action arising out of any such use of the QNX realtime platform.

1.1.7        TERM. This Agreement commences upon your acceptance (as described above) and will end: (i) in respect of individual packages of the realtime platform, when you license a functionally equivalent package directly or indirectly from QSSL under new terms and conditions; or (ii) when the QNX realtime platform program ends, except to the extent survivorship rights are announced by QSSL; or (iii) when this Agreement is terminated.

1.1.8        APPLICABLE PART B TERMS. The following Part B terms & restrictions also apply to this QNX RTP Non-commercial Use License Grant: B.1, B.2, B.3, B.4. B.5, B.6, B.8. B.9. B.10. B.11. B.12, B.13.

1.1.9        CONVERSION TO A QNX RTP COMMERCIAL LICENSE. You may obtain a Commercial License from QSSL by paying for and being registered to use the QNX realtime platform for other than non‑ commercial purposes. To install the QNX RTP you have to agree to be bound by the terms of this Agreement as they apply to the applicable Commercial License you obtain, from the date that you obtain such a license.

PART A.II QNX FULL COMMERCIAL USE LICENSE

1.1.10    INTRODUCTION. The QNX Full Commercial Use License can apply to all QSSL software products, including the QNX 4 family of products. Only if you obtain from QSSL a valid Full Commercial License for a Software product, then the terms in Part A.II apply to you for use of that Software. For greater certainty, the terms in Part A.II do not apply to those who have obtained a QNX Limited Commercial Use License.

1.1.11    FULL COMMERCIAL LICENSE GRANT. Subject to the terms of this Agreement, and conditional upon your being registered by QSSL as a Full Commercial Licensee, QSSL hereby grants to you a non‑exclusive, personal and non‑transferable license under QSSL's proprietary and sub‑licensing rights in the Software as follows:

(1) to copy the Software as required to install it and to follow normal back‑up and archiving practices (including one hard copy of any electronic document included in the packages you have licensed);

(2) to use, execute, display, perform, and update the QNX realtime platform in accordance with associated end‑user documentation; and

(3) to create derivative works of any sample source code provided in Development Packages and to use such derivatives in association with the Software, as authorized herein.

Unless expressly provided otherwise below, all third-party software that is sub‑licensed under this Agreement is provided solely for use in association with the Software.

1.1.12    FULL COMMERCIAL LICENSE TERM. This Full Commercial License commences upon your being registered by QSSL as a Full Commercial Licensee and will end when terminated.

1.1.13    APPLICABLE PART B TERMS. The following Part B terms and restrictions also apply to this QNX Full Commercial License Grant: sections B.1 to B.14. If you have a Full Commercial License for the Software, section B.15 also applies to you.

PART A.III LIMITED COMMERCIAL USE LICENSE

1.1.14    INTRODUCTION. The QNX Limited Commercial Use License is a limited commercial use license offered to certain developers. Only if you obtain from QSSL a valid QNX Limited Commercial License for the Software, then the terms in Part A.III apply to you for use of that software.

1.1.15    LIMITED COMMERCIAL LICENSE GRANT. Subject to the terms of this Agreement, and conditional upon your being registered by QSSL as a Limited Commercial Licensee, QSSL hereby grants to you a non‑exclusive, personal, non‑transferable, limited commercial license under QSSL's proprietary and sub‑licensing rights in the Software as follows:

(a) to use the Software to (i) develop new and (ii) port existing, software applications and device drivers for / to the QNX realtime platform, provided that such software applications and device drivers are intended for distribution to existing QNX realtime operating system users independent of any QNX RTOS components.

Before you use the QNX RTP for any other commercial purposes, including bundling your program with a QNX RTOS component for resale, you must purchase a full Commercial License.

1.1.16    LIMITED COMMERCIAL LICENSE TERM. This Limited Commercial License commences upon your being registered by QSSL as a Limited Commercial Licensee and will end when terminated.

1.1.17    NON-TRANSFERABILITY. An electronic key, unique serial number or the like (the "Key") representing your license to use the QNX RTP for these Limited Commercial purposes will be sent to you. Notwithstanding any term of this Agreement, this Key and/or License are not transferable or assignable.

1.1.18    APPLICABLE PART B TERMS. The following Part B terms and restrictions also apply to this QNX Limited Commercial License Grant: B.1, B.2, B.3, B.4. B.5, B.6, B.8. B.9. B.10. B.11. B.12, B.13.

PART B GENERAL LICENSE TERMS

B.1             SUPPORT & UPDATES. As a QNX Software licensee, you automatically become a member of our QNX Developer's Network (QDN), which gives you access to: (i) a self‑help knowledge database, (ii) a collection of online news groups, (iii) FAQs, white papers, and online documentation, (iv) tips and how‑tos, including source code and sample code. We also offer a variety of commercial support options to provide additional assistance (see support.qnx.com). Unless you subscribe to another support package, you are not entitled to support outside of QDN. Any updates to QNX Software are subject to the terms of this Agreement, except to the extent that you are required to agree to other license terms to install and use the updates.

B.2             LICENSING PUBLISHED QNX SOURCE CODE. We will be publishing source code for, and will be permitting royalty free distribution of, a range of Software components for the benefit of members of the QDN. We encourage you to do the same with applications you develop under license. Check out licensing.qnx.com for details.

B.3             FEEDBACK. We would like to get your feedback about QNX Software ‑ i.e., utility, reliability, maintainability, performance, user acceptance and any other factors that you believe should influence the way we evolve our Software. We would also like to hear about any problems you encounter. You can contact us by e‑mail (see "Submit Info" at support.qnx.com). In order to be able to incorporate your suggestions we require and you hereby agree to assign and waive all right, title and interest (if any) in and to any Improvements, including any associated intellectual property and moral rights, to and on behalf of QSSL. In this paragraph "Improvements" means any work‑arounds, error corrections, enhancements or other suggestions or improvements that you disclose directly or indirectly to QSSL. Please don't provide any Improvements if you are unable or unwilling to agree to these terms.

B.4             LICENSE LIMITATIONS. All rights not expressly granted are reserved to QSSL and its licensors. Except as expressly provided herein, this license does not authorize the sub‑licensing, transfer or distribution of all or any part of the Software to any third party. The Software is a valuable asset of QSSL and contains trade secrets of QSSL and its licensors; unless expressly permitted by this Agreement, otherwise by applicable law, or by QSSL in writing, you agree not to: (i) use, reproduce, modify, adapt, translate, update or transmit any part of the Software, in whole or in part; (ii) rent, lease, license, transfer, or otherwise provide access to any part of the Software; (iii) alter, remove, or cover any trademark, logo, proprietary or licensing notice(s) in or on any part of the Software, including in any "about" box, "flash" / "splash" screen or documentation; or (iv) decompile, disassemble, decrypt, extract or otherwise attempt or assist others to reverse engineer any part of the Software, except as necessary, when permitted by an applicable law, to correct defects or achieve inter‑ operability with complementary programs, for your purposes only, but only if QSSL has refused to provide the necessary information or assistance; (v) directly or indirectly, export, import or transmit the Software to any country in contravention of the laws of that country or the laws of Canada or the United States. Unless QSSL has provided you with express written consent, the Software may not be used in any application in which the failure of the Software could lead directly to death, personal injury, or severe physical or property damage (collectively, "High-Risk Activities"), including but not limited to the operation of nuclear facilities, aircraft navigation or communication systems, air traffic control, weapon systems, and direct life support machines. QSSL EXPRESSLY DISCLAIMS ANY EXPRESS OR IMPLIED WARRANTY OR CONDITION OF FITNESS FOR HIGH-RISK ACTIVITIES.

B.5             OWNERSHIP. QSSL and its suppliers retain all right, title, and interest in and to QNX-licensed Software, including all intellectual property rights therein. All copies, patches, updates, and upgrades that are not separately licensed will be considered QNX-licensed Software for the purpose of this Agreement and shall remain the property of QSSL and its licensors.

B.6             WARRANTY / WARRANTY LIMITATION BACKGROUND. QSSL tests the commercially released Software on specific reference platforms ("Reference platforms"). QSSL cannot warrant that any Software will function in accordance with related documentation in every combination of hardware platform, software environment, and Software configuration. You acknowledge that software bugs are likely to be identified when one or more Software products are used in your particular application. You therefore accept the responsibility of satisfying yourself that the Software is suitable for your intended use. This includes conducting rigorous testing of your value-added software application prior to its initial release, and prior to the release of any related hardware or software modifications or enhancements.

B.7             FULL COMMERCIAL LICENSE WARRANTY. QSSL warrants to you for a period of 90 days from the time you obtain a Full Commercial License that the Software as delivered by QSSL is capable of performing the functions described in related QSSL user documentation when used on Reference platforms. Your sole remedy and QSSL' sole obligation for any breach of this warranty will be, at QSSL's discretion, to either: (i) provide you with a patch or work-around for use as an interim fix until QSSL provides you with a free Update or Upgrade that corrects the problem (you acknowledge that patches and/or work-arounds made available by QSSL may not have been quality assurance tested); or (ii) terminate this Agreement and QSSL will provide a refund of any associated license fees paid to QSSL. QSSL also warrants the tangible media on which the Software was delivered, if any, will be free from defects in material and workmanship under normal use for a period of 90 days from acceptance of this Agreement. QSSL is not responsible for media defects that result from accident or abuse. Your sole remedy for any breach of this warranty will be to receive replacement media.

B.8             WARRANTY LIMITATIONS. EXCEPT TO THE EXTENT THAT A WARRANTY HAS BEEN EXPRESSLY PROVIDED UNDER A GIVEN LICENSE, IF AT ALL, THE PRODUCT AND THE MEDIA ON WHICH IT WAS DELIVERED ARE PROVIDED "AS IS" WITHOUT OTHER WARRANTIES OR CONDITIONS OF ANY KIND, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES AND CONDITIONS OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON‑INFRINGEMENT. YOU ASSUME THE ENTIRE RISK AS TO THE RESULTS AND PERFORMANCE OF THE PRODUCT. NOTHING STATED IN THIS AGREEMENT WILL IMPLY THAT THE OPERATION OF ANY PART OF THE PRODUCT WILL BE UNINTERRUPTED OR ERROR FREE OR THAT ERRORS WILL BE CORRECTED. OTHER WRITTEN OR ORAL STATEMENTS BY QSSL, ITS REPRESENTATIVES, OR OTHERS DO NOT CONSTITUTE WARRANTIES OF QSSL.

B.9             LIABILITY LIMITATIONS. IN NO EVENT WILL QSSL (OR ITS OFFICERS, EMPLOYEES, AGENTS, SUPPLIERS, DISTRIBUTORS, OR LICENSORS ‑ COLLECTIVELY "ITS REPRESENTATIVES") BE LIABLE TO YOU FOR ANY INDIRECT, INCIDENTAL, SPECIAL, OR CONSEQUENTIAL DAMAGES WHATSOEVER, INCLUDING BUT NOT LIMITED TO LOST REVENUE, LOST OR DAMAGED DATA OR OTHER COMMERCIAL OR ECONOMIC LOSS, ARISING OUT OF OR RELATING TO ANY BREACH OF THIS AGREEMENT, ANY USE OR INABILITY TO USE THE PRODUCT, OR ANY CLAIM MADE BY A THIRD PARTY, EVEN IF QSSL OR ITS REPRESENTATIVES HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGE OR CLAIM.

IN NO EVENT WILL THE AGGREGATE LIABILITY OF QSSL AND ITS REPRESENTATIVES FOR ANY DAMAGES OR CLAIMS ARISING OUT OF OR RELATING TO THIS AGREEMENT OR ANY PART OF THE QNX REALTIME PLATFORM, WHETHER IN CONTRACT, TORT, OR OTHERWISE, EXCEED THE LICENSE FEES YOU PAID TO QSSL OR US$ 10.00, WHICHEVER IS GREATER. QSSL'S AND ITS REPRESENTATIVES' LIMITATION OF LIABILITY IS CUMULATIVE WITH ALL OF QSSL'S AND ITS REPRESENTATIVES' PAYMENTS IN SATISFACTION OF THEIR LIABILITIES BEING AGGREGATED TO DETERMINE SATISFACTION OF THE LIMIT.

These limitations shall apply whether or not the alleged breach is a fundamental breach of contract. Some jurisdictions curtail limitations of liability for incidental or consequential damages, and/or limitations of implied warranties. Therefore, to the extent prohibited by applicable law, the above limitations may not apply to you.

QSSL has no obligation under this Agreement to provide maintenance, support, or training.

B.10         THIRD-PARTY BENEFICIARIES. Certain licensors of QSSL, a full list of which is available upon request, are third-party beneficiaries to this Agreement to the extent that this Agreement contains provisions that relate to your use of software in which such licensors have an interest. These provisions are made expressly for the benefit of such licensors and are enforceable by them in addition to QSSL. NEITHER QSSL NOR ANY OF ITS REPRESENTATIVES MAKES OR PASSES ON TO YOU OR OTHER THIRD PARTIES, ANY WARRANTY OR REPRESENTATION ON BEHALF OF QSSL'S LICENSORS.

B.11         TERMINATION. You may terminate this Agreement at any time. It will be deemed to terminate immediately if you fail to comply with any material term herein. Upon termination your license rights end and you shall immediately destroy all whole or partial copies of all elements of the Software licensed under this Agreement that are in your possession or control.

B.12         RESTRICTED RIGHTS. The Software is a "commercial item," as that term is defined in 48 C.F.R. 2.101 (Oct. 1995), consisting of "commercial computer software" and "commercial computer software documentation," as such terms are used in 48 CFR 12.1212 (Sept. 1995). Consistent with 48 C.F.R. 12.1212 and 48 C.F.R. 227.7202‑1 through 227.7202‑4 (June 1995), all U.S. government End Users acquire the QNX realtime platform with only those rights set forth herein. Use, duplication, or disclosure by the U.S. Government is subject to restrictions as provided in DFARS 227.7202‑1(a) and 227.7202‑3(a) (1995), DFARS 252.227‑7013(c)(1)(ii) (OCT 1988), FAR 12.212(a)(1995), FAR 52.227‑19, or FAR 52.227‑14 (ALT III), as applicable. QNX Software Systems Ltd.

B.13         GENERAL. This Agreement is governed by and will be construed in accordance with the domestic laws in force in the Province of Ontario, Canada without regard to the conflict of laws provisions therein. The parties expressly disclaim the provisions of the United Nations Convention on Contracts for the International Sale of Goods. This Agreement constitutes the entire agreement between you and QSSL pertaining to the Software, and supersedes all prior or contemporaneous agreements, understandings, negotiations, and discussions, whether oral or written. No amendment or waiver of any term of this Agreement will be binding unless executed in writing by the parties. The terms and conditions of this Agreement shall prevail over any inconsistent or additional terms or conditions of purchase orders or invoices. This Agreement is not assignable by you and any attempt to do so shall be void and of no effect. If any provision of this Agreement is held by a court of competent jurisdiction to be illegal, invalid, or unenforceable, the remaining provisions shall remain in full force and effect. QSSL and its authorized representatives shall have the right to trace Software and associated serial numbers at any time and in any reasonable manner.

B.14         ASSIGNMENT. Subject to the export restrictions provided above, you are entitled to assign this License to a third party who has provided QSSL with prior written acknowledgment of their acceptance of the terms and conditions herein. In such a case you will transfer your License registration to the assignee and will not exercise any commercial rights granted hereunder. The provisions of this Agreement will enure to the benefit of and will be binding upon the parties and their respective successors and permitted assigns.

B.15         COMMERCIAL LICENSE RELEASE STATUS. The QNX RTP represents a collection of software technologies distributed by QSSL as packages. The goal of the QNX RTP program is to provide developers with the earliest possible access to our latest developments in all of these technologies. This means that we are moving an interdependent set of components forward simultaneously on several fronts. It's therefore important that you understand and track the release status of the various packages you want to use in order to make informed decisions in your commercial product development, testing and product release plans.

There are three Release Levels to QNX RTP packages, which we will be publishing and updating on our QNX Developer's Network Web Site at http://qdn.qnx.com ("QDN"). Packages may be full distributions or patches to previous distributions and will be identified as containing Experimental, Beta or Commercially Released Software.

(1) "Experimental Software" is provided for you to try out. It's intended to test/verify bug fixes or to provide a glimpse of what might be in store for the future. It may or may not mature into a Commercially Released product. Substantive functionality and APIs may change. Experimental Software is not supported and may not be distributed or used for productive or commercial purposes.

(2) "Beta Software" is code we intend to commercially release once all of our quality requirements have been met. In the interim we may make updates to the Beta Software available which will include error corrections and may contain minor enhancements. Such updates (including final Commercial Release) supersede earlier Beta releases, which will no longer be supported. Beta Software may not be used or distributed for productive or commercial purposes without express written permission from QSSL. The pre‑conditions for any such distribution will include (a) your agreement to test the Beta Software in order to fully assess the impact of including (and the risks you assume by using) the Beta Software in your distribution; and (b) your acknowledgement that any changes (including bug fixes) will only be provided by QSSL in subsequent Beta or Commercial Releases.

(3) "Commercially Released Software" is code that has satisfied our quality requirements and has been approved for full commercial release. This code is fully supported by QSSL and may be commercially used or distributed provided that the appropriate licenses have been obtained from QSSL (see http://licensing.qnx.com for details).
